Terms of Service

These Terms govern your use of ClearTrace, a service operated by VitalDrip LLC (doing business as ClearTrace) (“ClearTrace,” “we,” “us”). By creating an account or using the service, you agree to them.

Effective date: October 16, 2026

1. The service

ClearTrace helps creators find and remove unauthorized copies of their copyrighted content online. Depending on your plan, the service includes: monitoring and identification of potentially infringing URLs; preparation of notifications of claimed infringement under 17 U.S.C. § 512(c)(3) (“DMCA notices”) and similar requests under other laws or platform policies; submission of those notices to hosting providers, platforms and search engines; and a dashboard to track status and results.

ClearTrace acts as your authorized agent, solely on your instructions and the authorization you give us. We are not a law firm, we do not provide legal advice, and no attorney-client relationship is created by your use of the service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use ClearTrace. The service is not directed to children, and we do not knowingly accept accounts from anyone under 18. If you use ClearTrace on behalf of a business or agency, you confirm you are authorized to bind that entity and each creator you manage.

3. Your account

Provide accurate, current information and keep it updated, including your legal name and contact details, which appear in notices sent for you. Keep your password confidential; you are responsible for activity under your account. Tell us promptly at contracts@vitaldripllc.com if you suspect unauthorized access.

4. Ownership and authority

For every work and URL you submit or approve, you represent and warrant that: (a) you own the copyright or an exclusive right in the work, or are authorized to act for the owner; (b) you have a good-faith belief the use complained of is not authorized by the owner, its agent, or the law, after considering whether it may be a fair use; and (c) all information you give us is accurate. We may ask for proof of identity, ownership or authority at any time and may pause enforcement until we receive it.

5. Authorization to act for you

By signing the DMCA authorization in your profile, you appoint ClearTrace as your agent to prepare, sign electronically in your name (or as your agent), send, follow up on and withdraw notices and related requests for the works and URLs connected to your account, and to correspond with recipients about them. Notices include the statements the law requires, including a statement made under penalty of perjury that the complaining party is authorized to act for the owner. You may revoke this authorization at any time in your profile or by emailing us; revocation stops new notices but does not recall notices already sent.

6. No guarantee of removal

Removal decisions are made by third parties (hosts, platforms, search engines) that we do not control. Some recipients ignore notices, operate outside the United States, request more information, or reinstate material after a counter-notification under 17 U.S.C. § 512(g). We do not guarantee that any content will be removed, delisted, or stay down, or that any particular turnaround time will be met. Results shown on our website are illustrative unless stated otherwise.

7. Subscriptions and billing

Paid plans are billed in advance on a recurring monthly basis (or another period shown at checkout). Payments are processed by our payment processor, Stripe, Inc.; we do not store your full card number. By subscribing you authorize recurring charges to your payment method at the price shown at checkout, plus applicable taxes, until you cancel. An active subscription is required to submit links for takedown; your plan determines limits such as the number of stage names and aliases you can register. You can change plans, update your payment method or cancel from the billing portal linked on your billing page. If a payment fails, filing new takedowns may be paused until it is resolved.

Automatic renewal. Your subscription renews automatically at the end of each billing period at the then-current price unless you cancel before the renewal date. We will tell you the price, billing frequency and how to cancel before you subscribe, and give advance notice of price changes, which apply from your next billing period.

8. Cancellation and refunds

You can cancel at any time from your account’s billing page or by emailing contracts@vitaldripllc.com. Cancellation takes effect at the end of the current paid period; you keep access until then and will not be charged again.

Fees already paid are non-refundable, and we do not provide refunds or credits for partial billing periods or unused features. Pro-rata refunds are not offered, except where required by applicable law. Nothing in these Terms limits any refund or cancellation right you have under mandatory consumer protection law.

9. Acceptable use

You agree not to: submit works you do not own or are not authorized to enforce; target content that is licensed, your own authorized posts, or a likely fair use; use the service to harass, silence criticism or commentary, or remove lawful speech; impersonate anyone; upload unlawful material, including any content involving minors; interfere with or reverse-engineer the service; scrape it or access it by automated means other than our published API with a valid key; or resell it without our written consent.

10. False claims and 17 U.S.C. § 512(f)

Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing may be liable for damages, including costs and attorneys’ fees, incurred by the alleged infringer, the copyright owner or licensee, or the service provider. Because notices are sent in your name, you are responsible for the accuracy of your claims. We may refuse to send any notice, withdraw notices, and suspend or terminate accounts that submit false, abusive or bad-faith claims.

11. Counter-notifications

If a recipient forwards a counter-notification about material removed at your request, we will pass it to you. Under 17 U.S.C. § 512(g), the provider may restore the material in 10 to 14 business days unless you file a court action seeking to restrain the alleged infringement. Deciding whether to sue is your decision, and you should consult a lawyer.

12. Our intellectual property

ClearTrace and its software, design, text and logos are owned by VitalDrip LLC (doing business as ClearTrace) or its licensors. You keep all rights in your content. You grant us a limited license to use the information and content you provide only as needed to operate the service, including by putting it in notices sent on your behalf.

13. Third-party services

The service interacts with third-party websites, platforms, search engines and payment processors. We are not responsible for their content, policies or actions, and your dealings with them are governed by their terms.

14. Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless VitalDrip LLC (doing business as ClearTrace) and its officers, employees and agents from any claims, damages, losses and expenses (including reasonable attorneys’ fees) arising from: (a) notices or requests sent on your instructions or authorization; (b) any inaccuracy in your representations about ownership, authority or good faith; (c) your breach of these Terms; or (d) your violation of law or third-party rights.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Automated detection can produce false positives and miss infringements; you should review findings before approving action.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VitalDrip LLC (doing business as ClearTrace) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow these limits, so they may not apply to you.

17. Termination

You may close your account at any time. We may suspend or terminate access if you breach these Terms, submit false or abusive claims, fail verification, or if required by law. Sections that by their nature should survive (including ownership, indemnification, disclaimers, limitation of liability and dispute terms) survive termination.

18. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules, and applicable U.S. federal law. Before filing a claim, you agree to contact us at contracts@vitaldripllc.com and try to resolve the dispute informally for 30 days.

Any dispute that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its consumer rules, except that either party may bring an individual claim in small-claims court. YOU AND CLEARTRACE WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. You may opt out of arbitration within 30 days of first accepting these Terms by emailing us.

Otherwise, disputes will be heard in the state or federal courts located in Fulton County, Georgia.

19. Changes to these Terms

We may update these Terms. If a change is material, we will notify you by email or in the app before it takes effect. Continuing to use the service after the effective date means you accept the updated Terms. If you do not agree, cancel before the change takes effect.
